SERVICE AGREEMENTThis Service Agreement ("Agreement") is entered into as of [Date] by and between:Consultive Cloud, LLC, a Virginia limited liability company, with a mailing address at 601 King St, Ste 200 #917, Alexandria, VA 22314 ("Service Provider"),and[Client Name], with a mailing address at [Client Address] ("Client").The parties hereby agree as follows:1. Scope of Services1.1 The Service Provider agrees to perform the services ("Services") set forth in the Statement of Work ("SOW") attached as Exhibit A, which includes Salesforce consulting, implementation, customization, integration, automation, and related advisory services.1.2 Any tasks, features, or deliverables not expressly stated in the SOW shall be deemed out of scope and will require a separate agreement or written change order, subject to additional fees.2. Definition of Completion ("Definition of Done")2.1 The project shall be considered complete when all deliverables specified in Exhibit A are delivered, tested (if applicable), and confirmed to function as specified.2.2 Minor post-delivery bug fixes, configuration clarifications, or usage guidance do not constitute new development and are not subject to refund or rework claims.3. Fees and Payment Terms3.1 Flat-Rate Services: Fees are due 100% upfront prior to commencement of work.3.2 Hourly-Based Services: Fees shall be invoiced based on time spent at the agreed hourly rate and are payable on Net 15 terms from the date of invoice.3.3 Late payments are subject to a late fee of 1.5% per month or the maximum allowed by law.4. Refund Policy4.1 Refunds may be requested only for flat-rate Services and only if:The request is submitted within 7 calendar days of final delivery.The delivered work materially fails to meet the agreed specifications in the SOW.4.2 Refunds are not guaranteed and shall be granted at the sole discretion of the Service Provider.4.3 Hourly-based and milestone-based Services are non-refundable.5. Support Services5.1 Any support requested after delivery of Services shall be billed at the agreed hourly rate.5.2 Support Services are not included in the original flat-rate unless explicitly stated in Exhibit A.6. Change Requests6.1 All Client requests for changes to the scope must be submitted in writing.6.2 Changes shall be subject to review and may require an updated fee quote and timeline.7. Limitation of Liability7.1 In no event shall the Service Provider or its members, agents, or affiliates be liable to the Client for indirect, incidental, special, or consequential damages.7.2 The Service Provider’s total liability under this Agreement shall not exceed the total fees paid by the Client under this Agreement.7.3 The Client agrees to indemnify and hold harmless Consultive Cloud, LLC against any claims, damages, or liabilities arising out of the misuse or unauthorized modification of deliverables.8. Intellectual Property8.1 All deliverables created under this Agreement shall become the Client’s property only upon full payment of all due invoices.8.2 Until such payment is made, all intellectual property remains the sole property of the Service Provider.9. Non-Disclosure and Confidentiality9.1 Both parties agree to keep confidential all non-public, proprietary, or confidential information disclosed in connection with the Services.9.2 Confidential information may not be shared with third parties or used for purposes outside the scope of this Agreement without written consent, except as required by law.9.3 This section shall survive termination of the Agreement for a period of three (3) years.10. Independent Contractor10.1 The Service Provider is acting as an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship.11. Governing Law11.1 This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia.12.
